Please read these Terms and Conditions ("Terms") carefully before using the Ruddr.ai mobile application ("App") operated by Ruddr.ai Ltd.

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the App.

Our Role in Events

Ruddr.ai is an events networking application where users can find recommended connections for events they're attending and manage their events activity. We provide the technology for discovering and managing connections at events, but we are not responsible or liable for:

• Event cancellations by the organizers;

• Any content or activities related to the events;

• The accuracy of event information provided by organizers or other users.

If you have an issue regarding any of the above, you should contact the event organizer directly.

User Representations

By using the App, you represent and warrant that:

• You are at least 18 years old;

• All registration information you submit is true, accurate, current, and complete;

• You will maintain the accuracy of such information;

• You have the legal capacity to comply with these Terms;

• You will not access the App through automated or non-human means;

• You will not use the App for any illegal or unauthorized purpose.

User Information and Profile Data

Our App requires you to provide certain information about yourself ("Profile Data") that will be used in our matching service and shared with your recommended connections.

You agree that:

• All Profile Data you submit is accurate, truthful, current, and complete;

• You are solely responsible for the Profile Data you provide, including its legality, reliability, and appropriateness;

• You will not submit misleading, offensive, or fraudulent Profile Data;

• You grant us the right to use, process, and share your Profile Data with other users as part of our matching service;

• You understand that portions of your Profile Data will be visible to your recommended connections to provide context for networking.

We reserve the right to remove any Profile Data that violates these Terms or that we determine, in our sole discretion, is inappropriate, offensive, or otherwise problematic.

Prohibited Activities

You agree not to:

• Use the App in any manner that could disable, overburden, damage, or impair the App;

• Use any robot, spider, or other automatic device to access the App;

• Introduce any viruses, trojan horses, worms, or other material which is malicious or technologically harmful;

• Attempt to gain unauthorized access to the App;

• Use the App to advertise or offer to sell goods and services without our permission;

• Engage in any conduct that restricts or inhibits anyone's use of the App;

• Use the App in any way that violates applicable laws or regulations.

Third-Party Links

The App may contain links to third-party websites or services that are not owned or controlled by Confluent Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by use of any such content, goods, or services available through third parties.

Intellectual Property

The App and its original content (excluding Profile Data provided by users), features, and functionality are and will remain the exclusive property of Ruddr.ai Ltd and its licensors. The App is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Ruddr.ai Ltd.

Privacy Policy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to all actions we take with respect to your information in accordance with our Privacy Policy.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease.

Disclaimer

The App is provided on an "as is" and "as available" basis. We disclaim all warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the App will meet your requirements, be uninterrupted, secure, or error-free.

Limitation of Liability

In no event shall Ruddr.ai Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

In any event, our total liability for all claims in connection with these Terms or the App will not exceed the amount you paid to us, if any, in the past six months.

Indemnification

You agree to defend, indemnify, and hold harmless Ruddr.ai Ltd and its licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

Governing Law

These Terms shall be governed by the laws of the United Kingdom. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notification of any material changes through the App at least 14 days before new terms take effect.
